These Terms and Conditions (“Terms”) govern access to and use of the Maxxseal LLC (“Maxxseal,” “we,” “us” or “our”) website and any related online services, content or functionality (collectively, the “Site”). By accessing or using the Site, you acknowledge that you have read, understood and agree to be bound by these Terms and by any policies incorporated by reference, including the Privacy Policy and Product Use, Warranty & Application Disclaimer. If you do not agree to these Terms, you must immediately discontinue use of the Site.

These Terms constitute a legally binding agreement between you and Maxxseal. If you are accessing or using the Site on behalf of a business, organization or other entity you represent that you have authority to bind that entity and these Terms apply to both you individually and the entity.

USE OF THE SITE

The Site is provided on an “AS IS” and “AS AVAILABLE” basis for informational and business purposes only. The Site is intended for use by individuals who are at least eighteen (18) years of age. You may use the Site solely to obtain information about Maxxseal, its products, dealer opportunities and related business matters and to communicate with Maxxseal through authorized channels.

You agree not to use the Site for any unlawful, harmful, fraudulent or unauthorized purpose or in any manner that could damage, disable, overburden or impair the Site or interfere with the use of the Site by others. Maxxseal reserves the right, in its sole discretion, to restrict, suspend or terminate access to the Site at any time without notice.

NO PROFESSIONAL OR TECHNICAL ADVICE

All content made available on the Site, including product descriptions, performance statements, application guidance, technical references, and recommendations, is provided for general informational purposes only. Nothing on the Site constitutes professional, engineering, installation or technical advice, nor does it create any warranty or guarantee of product performance.

Users are solely responsible for determining product suitability, proper application, surface preparation, compliance with instructions and adherence to applicable laws and regulations. Use of the Site does not alter or expand any express written warranty provided by Maxxseal.

Information regarding products, availability and shipping is subject to change without notice. Maxxseal makes no representation that products described on the Site are available in all locations. Shipping timelines, carriers and delivery estimates are not guaranteed and may vary based on location, inventory, carrier performance or other factors beyond Maxxseal’s control.

FEEDBACK, SUBMISSIONS, AND USER CONTENT

Any feedback, ideas, suggestions, submissions, materials or communications you provide to Maxxseal through the Site or otherwise are deemed non-confidential and non-proprietary. By providing such materials, you grant Maxxseal a perpetual, irrevocable, worldwide, royalty-free, unrestricted right to use, reproduce, modify, distribute, display and exploit such materials for any lawful purpose, without compensation or attribution.

Maxxseal assumes no obligation to review, respond to or implement any submission and disclaims all liability arising from its use or non-use of submitted materials.

INTELLECTUAL PROPERTY

All content on the Site, including text, graphics, logos, images, product names, trade dress, and other materials, is the exclusive property of Maxxseal LLC or its licensors and is protected by United States and international intellectual property laws. No license or right is granted to you except the limited right to access and use the Site in accordance with these Terms.

Unauthorized use, reproduction, modification, distribution or exploitation of Site content is strictly prohibited.

THIRD-PARTY LINKS AND CONTENT

The Site may contain links to third-party websites or references to third-party content. Such links are provided solely for convenience and do not constitute endorsement, sponsorship, or affiliation. Maxxseal makes no representations or warranties of any kind, express or implied, regarding the Site or its content. To the fullest extent permitted by law, Maxxseal expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness or availability.

Maxxseal does not warrant that the Site will be uninterrupted, error-free, secure or free of viruses or other harmful components. Use of the Site is at your sole risk.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Maxxseal LLC and its owners, officers, employees, agents, affiliates and suppliers shall not be liable for any direct, indirect, incidental, consequential, special, exemplary or punitive damages arising out of or related to your access to or use of the Site, reliance on Site content or inability to access or use the Site, even if advised of the possibility of such damages.

This limitation applies to all claims, whether based in contract, tort, negligence, strict liability, warranty or any other legal theory.

INDEMNIFICATION

You agree to defend, indemnify and hold harmless Maxxseal LLC and its owners, officers, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs or expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Site, violation of these Terms, misuse of products or infringement of any rights of another party.

DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER

Any dispute, claim or controversy arising out of or relating to these Terms, the Site or any interaction with Maxxseal shall be resolved exclusively through binding arbitration on an individual basis and not in a court of law, except that either party may pursue claims in small claims court if eligible.

Arbitration shall be administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitrator shall have exclusive authority to resolve any dispute regarding the interpretation, enforceability or applicability of this arbitration agreement. You waive any right to a jury trial or to participate in a class, collective or representative action.

This arbitration agreement is governed by the Federal Arbitration Act. Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction.

GOVERNING LAW AND VENUE

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles. To the extent any claim is not subject to arbitration, such claim shall be brought exclusively in the state or federal courts located within the State of Washington, and you consent to personal jurisdiction in those courts.

MODIFICATIONS AND TERMINATION

Maxxseal reserves the right to modify, suspend or discontinue the Site or these Terms at any time without prior notice. Changes are effective immediately upon posting. Continued use of the Site constitutes acceptance of the revised Terms.

SEVERABILITY AND ENTIRE AGREEMENT

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy and Product Use, Warranty & Application Disclaimer, constitute the entire agreement between you and Maxxseal regarding use of the Site.
